5. Client Responsibilities

Clients agree to:

  • Provide timely feedback, content, credentials, and approvals needed for delivery.
  • Ensure supplied materials do not infringe third-party rights or violate applicable law.
  • Maintain backups of any content or systems outside our agreed scope where applicable.
  • Pay invoices according to agreed schedules.

6. Fees & Payment

Fees are quoted in the currency stated in your proposal (commonly INR or EUR). Unless otherwise agreed, deposits may be required before work begins. Late payments may pause work or incur reasonable reminder costs. Taxes, third-party licences, stock assets, paid plugins, hosting, and domain registration are typically excluded unless explicitly included in writing.

7. Revisions & Scope Changes

Each project includes the revision rounds defined in your agreement. Requests outside agreed scope — additional pages, features, integrations, or redesigns — may be quoted separately. We will communicate material scope changes before proceeding.

8. Intellectual Property

Upon full payment for custom deliverables defined in your agreement, clients typically receive ownership or licence rights to the final approved website assets created specifically for their project, excluding third-party components subject to their own licences. Split 360 Agency retains the right to showcase completed work in our portfolio unless a confidentiality agreement states otherwise. Pre-existing tools, frameworks, and internal methodologies remain our property.

9. Third-Party Services

Projects may rely on hosting providers, domain registrars, payment gateways, analytics platforms, CMS plugins, and other third-party services. Their terms, uptime, pricing, and policy changes are outside our direct control. We will configure integrations as agreed but are not liable for third-party outages or policy decisions.

10. Warranties & Disclaimer

We deliver services with reasonable skill and care in line with industry standards. Except as expressly stated in a signed agreement, services and website content are provided "as is" without warranties of uninterrupted availability, specific search rankings, or particular business outcomes. SEO and marketing results depend on many external factors beyond our control.

11. Limitation of Liability

To the fullest extent permitted by law, Split 360 Agency shall not be liable for indirect, incidental, special, or consequential damages including lost profits, lost data, or business interruption. Our total liability for any claim relating to a specific project shall not exceed the fees paid by you for that project in the twelve months preceding the claim, unless a higher limit is set in a signed agreement.

12. Termination

Either party may terminate a project according to the cancellation terms in the signed agreement. Work completed up to the termination date remains billable. Upon termination, we may provide reasonable handover assistance as defined in your contract. Maintenance retainers typically require notice as stated in the relevant plan.

13. Confidentiality

We treat non-public business information shared during projects as confidential and use it only to deliver agreed services. Clients should likewise protect any credentials or proprietary processes we share.

14. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

15. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Vadodara, Gujarat, India shall have exclusive jurisdiction for disputes arising from website use, unless a separate signed agreement specifies different governing law for a specific client engagement.

16. Changes

We may update these Terms from time to time. The "Last updated" date above reflects the current version. Material changes will be posted on this page. Continued use of the website after updates constitutes acceptance where permitted by law.
